Terms of Service
Effective Date: July 4, 2025
Axis Operating Systems LLC (“we”, “us”, “our”) licenses Axis as a local software product for your own device(s). By downloading, installing, accessing, or using Axis, you (“User”) agree to all terms below, whether you are an individual or acting for an organization. If you do not accept these terms, you may not use or install the software.
1. Scope of License & Use
- You are granted a limited, non-exclusive, non-transferable, revocable license to install and use Axis solely on devices you own or control, for your internal business or personal use.
- You may not resell, sublicense, reverse engineer, copy, distribute, modify, or make Axis available to any third party.
- The software is licensed, not sold. All rights not expressly granted are reserved by Axis Operating Systems LLC.
2. Local-Only Data & No Services Provided
- Axis is a local software application. We do not and cannot access, store, transmit, or process any user data, files, or records.
- No servers, accounts, or cloud services are provided. All information, including any sensitive, medical, or client data, remains only on your device.
- You are solely responsible for all data you store or manage with Axis, including legal, regulatory, and compliance obligations.
3. No Medical, Legal, or Compliance Advice
Axis is a software tool only. It does not provide medical, legal, or compliance advice. You are fully responsible for your use of the software, including meeting all laws and professional standards (including HIPAA or equivalent), safeguarding device security, and protecting patient, client, or confidential data.
4. Your Data, Your Risk
- You are the sole custodian of all data stored or entered into Axis. We have no ability to recover, restore, or access your data.
- Backup and data protection is your sole responsibility. If your device is lost, stolen, damaged, or compromised, your data may be unrecoverable and we bear no responsibility.
- You are solely responsible for restricting access to your device and securing all information stored within Axis.
- A secure login is required to access the download page or PWA interface. However, your account credentials are used only for authentication and are never connected to your business or patient data. All records and files remain local and are never sent to us or to any cloud provider.
5. HIPAA & Data Privacy
- Axis never receives, stores, or transmits protected health information (PHI) or any sensitive data to us or any third party.
- No Business Associate relationship exists. You are responsible for any and all HIPAA, HITECH, GDPR, or other data privacy and security compliance requirements.
- Your use of Axis does not guarantee compliance with any law or regulation. You must configure and use the software in accordance with all applicable rules and standards.
6. Limitation of Liability & Disclaimer of Warranties
- We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We are not liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from your use or inability to use Axis—even if we have been advised of the possibility of such damages.
- We do not warrant that Axis will meet your requirements, operate uninterrupted, or be error-free.
- Your sole and exclusive remedy is to stop using Axis and uninstall the software.
- If any liability is found, it shall not exceed $50 USD in aggregate.
7. Third-Party Services, Dependencies, and Platform Limitations
- No Guarantee of Continuous Availability: Access to any application or service may be interrupted, suspended, or terminated at any time due to failures, changes, or discontinuation of any third-party provider, component, or dependency.
- No Responsibility for Third-Party Failures: If any third-party provider (including, but not limited to, Vercel, Clerk, Apple, or the Tauri project) ceases operation, changes APIs, or experiences downtime or incompatibility, Axis Operating Systems LLC shall not be liable for any resulting loss of access, data, productivity, or damages of any kind.
- User Responsibility: You are solely responsible for keeping your devices and operating systems compatible with Axis software. We do not warrant that any software will function on all current or future devices, OS, or browsers.
- Indemnification: You agree to indemnify and hold harmless Axis Operating Systems LLC from any claims or damages resulting from the failure, downtime, or incompatibility of any third-party service, provider, or technology used by any Axis application.
8. Indemnification
You agree to defend, indemnify, and hold harmless Axis Operating Systems LLC and its officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of or relating to your use of Axis, your data, your breach of these terms, or your violation of any law or regulation.
9. Software Updates & Support
Updates may be provided at our discretion. We are not obligated to provide support, maintenance, or upgrades. No remote access to your device or data will ever be requested.
10. Termination
We may revoke your license and terminate your use of Axis at any time for breach of these terms. You may stop using Axis and uninstall it at any time; your data remains on your device under your sole control.
11. Governing Law, Arbitration & Waiver of Class Actions
- These Terms are governed by the laws of Texas, USA, without regard to conflict of law provisions.
- All disputes will be resolved exclusively by binding individual arbitration in Texas. You waive any right to participate in class or representative actions.
12. No Third-Party Beneficiaries
These Terms create no rights enforceable by anyone other than Axis Operating Systems LLC and the user.
13. Changes to Terms
We may update these terms at any time. Your continued use after changes constitutes acceptance. If you do not agree, uninstall and cease use immediately.
14. Contact
Developer’s Commitment: As an active user of these applications in my own businesses and clinic, I personally understand the importance of uptime and functionality. If any application becomes unavailable or inoperable due to technical or third-party issues, I will wholeheartedly and promptly attempt to repair and restore service within a reasonable time frame. However, I offer no guarantee of uninterrupted operation or successful resolution, due to factors outside my control (such as platform updates, policy changes, or third-party discontinuations).
Important: Please be cautious with personal device updates, system changes, or hardware/software modifications. Users are responsible for their own hardware and operating system reliability. Changes outside the application’s scope may affect your experience and are not covered by this commitment.
